Account Credit Auto-Top-Up Agreement

This Account Credit Auto-Top-Up Agreement (hereinafter referred to as "this Agreement") is a legal agreement between you ("User" or "You") and Gname (hereinafter referred to as "Platform" or "We") regarding the use of the account credit auto-replenishment setting (collectively referred to as "the Setting").

Before you click "Confirm", "Activate", "Enable" or similar buttons, or actually use the Setting, please ensure that you read this Agreement carefully, particularly the terms regarding exemption or limitation of liability, governing law, and dispute resolution.

1. Definitions and Interpretation

1.1 "Platform": Refers to the Gname website, application, and its related service interfaces.

1.2 "Credits": Refers to the accounting units held in the User's Platform account, limited to the redemption of specific products or services on the Platform. Credits do not possess currency properties, do not accrue interest, and are not legal tender or deposits.

1.3 "Auto-Top-Up Setting": Refers to the setting where the User authorizes the Platform to automatically deduct a specific amount from the bound payment method to purchase Credits when the User's account Credits fall below a set value.

2. Service Modes and Rules

2.1 Trigger Top-Up: When the Platform detects that your account's available Credits are lower than the minimum balance set by you ("Trigger Value"), it will automatically deduct the amount set by you from your payment method.

2.2 Binding of Payment Method: Before using the Setting, the User must bind a valid international credit card, PayPal account, or other payment methods supported by the Platform ("Payment Account") that is in good standing. The User undertakes that the Payment Account belongs to the User personally or that the User has obtained legal and full authorization from the holder.

3. Authorization and Deduction

3.1 By enabling the Auto-Top-Up Setting, the User agrees to and authorizes the Platform and/or the payment service provider designated by the Platform to deduct funds under the agreed trigger conditions.

3.2 The User confirms that the provided payment method is legal and valid and has sufficient balance/credit limit to complete the deduction.

3.3 The User may disable the Auto-Top-Up Setting at any time via the Platform account settings. Disabling the setting will not affect deductions that have already occurred prior to disabling.

4. Payment Failure and Retry Mechanism

4.1 Deduction Failure: If a deduction fails due to reasons including but not limited to insufficient balance, card expiration, or bank risk control, the Platform has the right to immediately suspend the provision of relevant services to the User (including but not limited to stopping API access, suspending domain name resolution, and freezing membership benefits) until payment is received in full.

4.2 Obligation to Update Information: The User is obliged to ensure the accuracy and validity of the Payment Account information. If the payment card expires or is reported lost, the User shall immediately update it in the backend.

5. Nature of Credits

5.1 Closed-loop Usage: "Credits" obtained by the User through Auto-Top-Up are strictly limited to purchasing digital products or services such as domain names, servers, and SSL certificates within the Platform.

5.2 Non-E-money: The User acknowledges and agrees that such Credits:

(a) Do not constitute "e-money" under the Payment Services Act of Singapore;

(b) Cannot be used to make transfers or payments to third parties outside the Platform;

(c) Cannot be reversely exchanged for cash (unless mandatorily required by applicable laws);

(d) Cannot be transferred or gifted between Users.

5.3 No Deposit Protection: The User's Credit balance is not a bank deposit and is not protected by the Singapore Deposit Insurance Corporation (SDIC) or any similar institution.

6. Refund, Cancellation, and Irrevocability

6.1 Cancellation of Auto-Top-Up: The User may disable the auto-renewal or Auto-Top-Up function at any time via the Platform control panel.

Effective Time: The cancellation operation will take effect at the end of the current billing cycle (for auto-renewal) or immediately (for Auto-Top-Up).

No Refund: After cancelling the Setting, fees already paid by the User for the current period's Auto-Top-Up will not be refunded, and the User may continue to enjoy the Setting until the end of the current period.

6.2 Irrevocability: Unless the Platform commits a material breach or applicable laws provide otherwise, all transactions successfully completed via automatic deduction are final, irrevocable, and non-refundable.

6.3 No Chargeback: If the User has an objection to a deduction, the User should first contact the Platform's customer service to resolve it. If the User initiates a chargeback or dispute with the issuing bank without communicating with the Platform:

(a) The Platform has the right to recover the Credits or products involved in the dispute (e.g., reclaiming registered domain names);

(b) The User shall bear the processing fees, fines, and legal costs incurred by the Platform as a result.

7. Third-Party Payment Services

7.1 Data Transmission: The User agrees that the Platform transmits necessary transaction information (including but not limited to order number, amount, encrypted payment credentials) to third-party payment service providers (such as banks, Visa/Mastercard networks, payment gateways).

7.2 Third-Party Liability: This Service relies on the stability of third-party payment systems. The Platform assumes no liability for breach of contract regarding deduction delays or failures caused by bank system maintenance, network failures, or third-party payment gateway errors.

8. Risk Warning and Disclaimer

8.1 Exchange Rate Risk: If the currency of the User's Payment Account differs from the Platform's settlement currency, the User shall bear the currency conversion fees charged by the bank or card organization and the price differences caused by exchange rate fluctuations.

8.2 Account Security: The User shall properly safeguard the account password. Any automatic deduction instruction initiated using the User's account shall be deemed as the User's own act. The User shall bear the losses from automatic deductions caused by account theft.

9. Modification, Interruption, and Termination of Service

9.1 The Platform has the right to suspend or terminate part or all of the Auto-Top-Up Setting based on business adjustments, compliance requirements, or system maintenance.

9.2 Termination for Breach: If the User violates this Agreement or the Platform's main Terms of Service (e.g., engaging in fraud, money laundering, resource abuse), the Platform has the right to immediately terminate this Service without notice and confiscate any benefits obtained through the violation.

10. Governing Law and Dispute Resolution

10.1 This Agreement shall be governed by and construed in accordance with the laws of Singapore.

10.2 Any dispute arising from or in connection with this Agreement shall first be resolved through amicable negotiation between the parties; if negotiation fails, it shall be submitted to the Singapore courts for resolution by litigation.
